1. Agreement and Acceptance

These Terms and Conditions (“Terms”) govern your use of Routely’s hotel route optimization service (“Service”) operated by Summarize Limited (“Routely,” “we,” “us,” or “our”), a company incorporated in Hong Kong.

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, discontinue use immediately.

2. Service Description

2.1 Platform Overview

Routely provides a hotel search and route optimization platform that:

  • Compares hotel rates and availability across multiple destinations
  • Optimizes multi-city travel itineraries based on user preferences
  • Connects users with third-party online travel agents (OTAs) and booking platforms
  • Facilitates hotel reservations through partner platforms

2.2 Third-Party Services

Our Service integrates with external booking platforms, OTAs, and hotel providers. We act as an intermediary and comparison platform, not as a travel agent or hotel operator.

2.3 Commission Disclosure

Important: We earn commissions from partner OTAs and booking platforms when you complete bookings through our Service. This does not affect the prices you pay, which are set by our partners.

3. User Accounts and Eligibility

3.1 Account Creation

  • You may use our Service without creating an account for basic searches
  • Account registration provides additional features and booking history
  • You must provide accurate, complete information during registration

3.2 Eligibility Requirements

  • You must be at least 18 years old to create an account or make bookings
  • You must have legal capacity to enter into binding agreements
  • You represent that all information provided is truthful and accurate

3.3 Account Security

  • You are responsible for maintaining account confidentiality
  • You must notify us immediately of unauthorized access
  • We are not liable for losses due to unauthorized account use

4. Booking Process and Third-Party Relationships

4.1 Booking Facilitation

  • Hotel bookings are processed through our partner OTAs and platforms
  • We facilitate connections but do not directly process reservations
  • Booking confirmations and vouchers are issued by the respective booking platform

4.2 Third-Party Terms

  • Each booking is subject to the terms and conditions of the relevant OTA or booking platform
  • You must comply with partner platform policies regarding cancellations, modifications, and disputes
  • We are not responsible for partner platform terms or policy changes

4.3 Pricing and Availability

  • Rates and availability are provided by third-party suppliers in real-time
  • Prices may change between search and booking completion
  • Final pricing is determined by the booking platform at time of reservation

5. User Obligations and Restrictions

5.1 Permitted Use

You may use our Service to:

  • Search for hotel accommodations and compare rates
  • Create and optimize multi-city travel itineraries
  • Access booking links to partner platforms
  • Manage your account and booking history

5.2 Prohibited Activities

You may not:

  • Use automated systems (bots, scrapers) to access our Service
  • Attempt to circumvent security measures or access controls
  • Interfere with Service functionality or other users’ access
  • Submit false, misleading, or fraudulent information
  • Use the Service for illegal purposes or to violate third-party rights
  • Reverse engineer, copy, or create derivative works of our platform

5.3 Content Standards

Any content you submit must:

  • Be accurate and not misleading
  • Comply with applicable laws and regulations
  • Not infringe intellectual property rights
  • Not contain harmful, offensive, or inappropriate material

6. Payment Terms

6.1 Payment Processing

  • Payments for hotel bookings are processed directly by partner platforms
  • We do not collect or store payment information for bookings
  • Each booking platform has its own payment terms and accepted methods

6.2 Service Fees

  • Basic Service use is currently free for users
  • We reserve the right to introduce fees with 7 days’ notice
  • Any future fees will be clearly disclosed before implementation

6.3 Taxes and Currency

  • All prices displayed do not include applicable taxes unless otherwise stated
  • Currency conversion rates are provided by third-party services
  • You are responsible for any additional taxes or fees in your jurisdiction

7. Cancellations and Refunds

7.1 Booking Cancellations

  • Cancellation policies are determined by the booking platform and hotel
  • You must cancel directly through the platform where you made the reservation
  • We cannot process cancellations or modifications on your behalf

7.2 Refund Processing

  • Refunds are processed by the respective booking platform or hotel
  • Refund eligibility depends on the specific cancellation policy applicable to your booking
  • We do not provide refunds for Service use as our platform is currently free

7.3 Force Majeure

Neither we nor our partners are liable for cancellations or modifications due to circumstances beyond reasonable control, including natural disasters, government actions, or public health emergencies.

8. Intellectual Property Rights

8.1 Our Content

  • Our Service, including software, design, text, and graphics, is protected by intellectual property laws
  • We grant you a limited, non-exclusive, non-transferable license to use our Service
  • You may not reproduce, distribute, or create derivative works without written permission

8.2 Third-Party Content

  • Hotel information, photos, and descriptions are provided by hotels and booking platforms
  • We respect intellectual property rights and respond to valid infringement notices
  • Report suspected infringement to [legal email]

8.3 User-Generated Content

  • You retain ownership of content you submit but grant us license to use it for Service operation
  • You represent that you have rights to submit any content provided
  • We may remove content that violates these Terms or applicable laws

9. Disclaimers and Limitation of Liability

9.1 Service Availability

  • We provide our Service “as is” without warranties of any kind
  • We do not guarantee continuous, uninterrupted, or error-free Service availability
  • Scheduled maintenance and updates may temporarily affect Service access

9.2 Information Accuracy

  • Hotel information, rates, and availability are provided by third parties
  • We make reasonable efforts to display accurate information but cannot guarantee completeness or accuracy
  • You should verify important details directly with hotels or booking platforms

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability is limited to HK$500 per incident
  • We are not liable for indirect, incidental, or consequential damages
  • We are not responsible for acts or omissions of third-party service providers
  • You agree to indemnify us against claims arising from your use of the Service

10. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of personal data is governed by our Privacy Policy, incorporated by reference into these Terms.

11. Modifications and Updates

11.1 Service Changes

  • We may modify, suspend, or discontinue Service features with reasonable notice
  • Significant changes will be communicated via email or website notice
  • Continued use after changes constitutes acceptance

11.2 Terms Updates

  • We may update these Terms periodically
  • Material changes require 30 days’ advance notice
  • Updated Terms become effective on the specified date

12. Termination

12.1 Termination by You

  • You may stop using our Service and delete your account at any time
  • Termination does not affect existing bookings made through partner platforms

12.2 Termination by Us

We may suspend or terminate your access if you:

  • Violate these Terms or applicable laws
  • Engage in fraudulent or harmful activities
  • Fail to pay applicable fees (if introduced)

12.3 Effect of Termination

  • Your right to use the Service ends immediately
  • Provisions regarding liability, indemnification, and governing law survive termination
  • Existing bookings through partner platforms remain valid

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Hong Kong Special Administrative Region, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes arising from these Terms or Service use shall be subject to the exclusive jurisdiction of Hong Kong courts.

13.3 Informal Resolution

Before formal legal action, we encourage contacting us to resolve disputes amicably through our customer service team.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Routely regarding Service use.

14.2 Severability

If any provision is deemed invalid or unenforceable, the remaining provisions continue in full force and effect.

14.3 Waiver

Our failure to enforce any provision does not constitute a waiver of our rights to enforce it later.

14.4 Assignment

You may not assign your rights under these Terms. We may assign our rights and obligations with reasonable notice.

14.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.

16.1 Booking Platform Relationships

  • We maintain partnerships with various OTAs and booking platforms
  • Partner selection is based on competitive rates, availability, and service quality

  • Our optimization algorithms consider factors including price, hotel ratings, availability, and user preferences
  • Algorithm results are recommendations only; final booking decisions are yours
  • We continuously improve our algorithms but do not guarantee optimal results for every scenario

16.3 Customer Support

  • We provide customer support for Service-related questions
  • For booking-specific issues (cancellations, modifications), contact the relevant booking platform directly
  • Our support team can assist with platform navigation and account-related matters

These Terms are written in English. In case of discrepancy between English and translated versions, the English version prevails.
